What is a Confidentiality, Non-Competition and Non-Solicitation Agreement

A Confidentiality, Non-Competition and Non-Solicitation Agreement is an agreement entered between the employer and the employee to protect the employer’s confidential information during and after the termination of employment and to protect the employer from post-employment competition and post-employment solicitation by the employee of the employer’s clients. The Agreement can also contain a provision dealing with the employee’s covenant to disclose inventions developed in connection with the employment and assigning all the rights to the inventions to the employer.

What is meant by Confidential Information?

Confidential information is information that is made available to the employee during the course of his/her employment that the employer wishes to keep secret. It may include such things as, trade secrets, inventions, customer records, employer’s internal data, employee information and internal policies & procedures. Generally, it is something that is not in the public domain.

What is a Non-Competition Clause?

A Non-Competition clause is a clause prohibiting the employee from providing services to or being employed by any person or entity that is engaged in a business which is in direct competition with the business of the employer. The scope of a Non-Competition clause is generally limited in terms of the geographic area, duration, and the nature of activity prohibited.

What is a Non-Solicitation Clause?

A Non-Solicitation clause is a clause prohibiting the employee, after employment has ended, from soliciting any client or potential clients of the employer served or solicited by the employee during the course of employment.  It can also prohibit the employee from soliciting any employee of the employer to leave their employment with the employer. The scope of a Non-Solicitation clause is generally limited in terms of the duration.
